Kindly read the following terms and conditions carefully as your use of www.adfluencehub.com (hereinafter referred to as "Website" and Adfluence) is subject to your acceptance of and compliance with the following terms and conditions ("Terms").These Terms of Use affect your legal rights and obligations. By browsing, registering or using any of the functionality of the Website, you agree that you are of legal age to enter into binding contracts and have read and are bound by the terms of the Terms including future modifications. If you do not agree to be bound by the following Terms of Use, do not access or use the Service of the Website. In case of the user being a Minor, the guardian is responsible incase of violation of the Terms. Adfluence cannot be made vicariously liable for any such breach.

Acceptance of Terms and Representations

By accessing, browsing or otherwise using the website you are agreeing that you are legally allowed to enter into binding contracts under the Indian Contract Act, 1872, and have read, understood and bound by these terms. The Terms of User read together with the Privacy Policy constitute a binding agreement between the user and Adfluence. You give your consent for the same including but not limited to:

Accessing/Surfing any part of the Website
Creating an Account
Uploading any content or filling up any form

Your use of the website constitutes your consent to the Privacy Policy of the Website.

By using adfluencehub, users are agreeing to be bound by the YouTube Terms of Service and Google privacy policy.

Limited Use

AdfluenceHub Pvt. Ltd.'s use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements. Our app complies with all conditions specified in the limited use policy of Google.

We use the Google OAuth 2.0 protocol to allow you to sign in without sharing any credentials with us, such that you can import media into our app. We will not transfer your data to others unless doing so is necessary to provide and improve these features, comply with applicable law, or as part of a merger, acquisition, or sale of assets.
We will not use this data for serving advertisements.
We will not allow humans to read this data unless we have your affirmative agreement for select media, doing so may be necessary for security purposes such as investigating abuse, to comply with applicable law, or for internal operations and only when the data have been aggregated and anonymized. The use of information received, and the transfer of information to any other app, from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.

Account Detail and User Obligations

Registration: In order to access a major part of the website, you will need to create an account / register on the Website. You shall not create an account for another person or impersonating another person unless prior permission has been obtained. You will not create more than one account on the Website. You are responsible for maintaining the confidentiality of your password and account details of your account on our website, including devices through which you access our Website and services. Indemnification

You agree to indemnify and hold harmless Adfluence, its owners, directors, employees and affiliates from any and all liabilities, claim, losses , damages, including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms, Privacy Policy and other policies, or your violation of any law, rules or regulations or the rights (including infringement of any intellectual property rights) of a third party.

Disclaimer Of Warranties

All information included in the Website, along with the services are provided by Adfluence on an “AS IS” and on an “AS AVAILABLE” basis. Adfluence doesn’t make any representations of warranties with regards to the accuracy, completeness and quality of the website, the services of the website or any activities or items related to these Terms.

Adfluence will not be liable for any kind of damages arising from the use of the website, its content and services, including any direct, indirect, punitive, incidental, special, consequential damages or any other damages unless otherwise specified in writing.

Links to Third Party sites

There could be links available on our website which are links to third party websites. Adfluence is not responsible for the any information or provisions including but not limited to the content, terms, privacy settings of the third party site. Adfluence has no liability for the same.

Limitation of Liability

You hereby acknowledge that Adfluence is not liable for any losses or damages relating to your use of the Website or in any connection to these Terms including but not limited to :

Your inability or difficulty to use our Website, including the content and it’s services.
Viruses, Trojans or any other malicious software which may be transmitted to or through the Website by any third party.
Information and/or Services offered or provided by third parties through the Website.
Bugs, glitches, errors or inaccuracies of any kind on our Website and/or services.

Intellectual Property and Data Protection

Unless otherwise indicated, Adfluence solely and exclusively owns all Intellectual Property Rights associated with the Website and its content including, without limitation, trademarks, trade names , copyrights, service marks, logos, graphics, content, source code and databases. You acknowledge that without obtaining the authorized permission from Adfluence, you will not use, reproduce or distribute any content from the Website. You thereby agree to protect the Proprietary rights of Adfluence during and after the term of these Terms.

You will be responsible for any content in any format, text, audio, video, image etc. uploaded by you on the Website. Adfluence doesn’t take any responsibility of authenticity and proprietary rights of content uploaded by other users.

FOR BRANDS

Adfluence helps brands connect with influencers of their choice in order to help them collaborate and work on promotional campaigns. Brands can create campaigns, invite influencers, manage the campaigns (communicate) and measure the results of the campaign on the Website.

Brands that wish to start a campaign via Adfluence agree to the following terms and conditions

Brand would maintain complete transparency about the product and services they are offering prior to launching their campaign.
If it is a paid campaign, the brand commits to make the payment to the influencers that had been agreed upon before the influencer on boarding.

FOR INFLUENCERS

Adfluence bridges the gap between brands and the creators/ online influencers. Selection of these influencers is at the sole discretion of the brand in collaboration with Adfluence and will be final. Influencer can apply for campaigns and manage the campaigns on the website

The Influencer should be 13 years of age or older.
Every sponsored post must contain a disclaimer that it is sponsored and also mention Adfluence in the post.
The influencer is responsible for taking care that no post hampers the image of the brand. In case of such an event the influencer is deemed responsible and is liable for compensating for the same.
The influencer should not participate in a campaign in which they have a direct conflict of interest in.
The influencer needs to maintain complete transparency about their blog. web presence, followers etc. In case the information is found to be false the agreement with Adfluence would be deemed void.
Influencers will be solely responsible to follow terms or guidelines given by Brands. Adfluence is not liable for any action taken by the brand owners .

Termination

Your use of the Website and any of the services of the website can be terminated of suspended by Adfluence at any time. This is at the sole and absolute discretion of Adfluence. The disclaimer of warranties, the limitation of liability, and the governing law provisions shall survive any termination of these Terms.

Severability

If any part of these Terms is illegal, invalid, or unenforceable in whole or in part under applicable law, it will not affect the remaining provisions of these Terms

Changes to the Terms

Adfluence reserves the right to modify these Terms at anytime without any prior notice to you. By accessing, browsing or otherwise using the website following the posting of changes will mean that you agree and accept the changes made to the Terms.

Governing Law

These Terms shall be governed by and constructed in accordance with the laws of India. Any conflict of laws principles, and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.
